Thanks for using PrintJob Software (“Services or Systems or the PJ System”). The Software is provided by PrintJob Ltd. (“PrintJob” or “PJ”), registered at PrintJob Limited, 128 City Road. London EC1V 2NX

This document outlines the Terms and Conditions of using the PJ System, including any free trial period offered. It also lays out some of the undertakings of PrintJob. By using the PJ System, you are agreeing to these terms. Please read them carefully.

PrintJob reserves the right to cancel your Free trial or Subscription immediately without warning or liability if you contravene these Terms and Conditions.

Our Systems can be used for a diverse range of workflows, and new features are always added, so sometimes additional terms or conditions may apply. Please keep up to date on this document. Additional terms become part of your agreement with us.

The PrintJob System, together with the www.PrintJob.com website and domain name and any other linked pages, features, content, or application services offered from time to time by PrintJob, is owned, operated and copyrighted by PrintJob.

If it turns out that a particular Term or Condition is not enforceable, this will not affect any other terms. Also, if you do not comply with these terms and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

The laws of England UK will apply to any disputes arising out of or relating to these Terms and Conditions or using the PJ System. All claims arising out of or relating to these terms or the PJ System will be litigated exclusively in the courts of England UK, and you and PrintJob consent to personal jurisdiction in those courts.

Using the PJ System

You agree to the Terms and Conditions laid out in this document as soon as you start using the PJ System.

If you enter this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms and Conditions. If you do not agree with these terms and conditions, you must not accept this agreement and may not use the PrintJob System.

Fair Use

You agree not to misuse or interfere with the PJ System or try to access it using a method other than the interface and instructions we provide. You may not select or use an email or name of another person with the intent to impersonate that person or use information subject to any rights of a person other than you without appropriate authorisation. We reserve the right to and may suspend or stop providing the PJ System to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Access Denied

You may not access the PJ System if you are a direct competitor of PrintJob, except with our prior written consent. In addition, you may not access the PJ System for monitoring availability, performance or functionality or for any other benchmarking or competitive purposes outside of a normal evaluation of PrintJob via a Free Trial as a potential client.

Ownership

Using the PJ System does not give you ownership of any intellectual property rights in the PJ System or the content you access. You may not use content from the PJ System outside the PJ System unless you obtain permission from PrintJob or are otherwise permitted by law. You agree not to seek to remove, obscure, or alter any legal notices displayed in the PJ System.

The Data you enter into the PJ System is yours, and PrintJob has no rights to it and undertakes not to use it without your consent.

Free Trial

If you register on our website for a free trial, the PrintJob System is available to you on a trial basis free of charge until the end of the free trial period for which you registered or the start date of any purchased subscription ordered by you. If you do not purchase a subscription to the PrintJob System at the end of the Free Trial period, any data you have entered will be held for three months. After three months, the data will be deleted and unrecoverable.

The PrintJob System is provided “as is” without any warranty during the free trial.

Protecting the PrintJob System

Subject to your subscription, PrintJob gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the web software that PrintJob provides as part of the PJ System.

You may not copy, modify, distribute, sell, or lease any part of the PJ System or included software unless you have our specific written permission.

You agree not to use manual or automated software, devices, or other processes to “crawl,” “scrape,” or “spider” any page of the PJ System. You will not decompile, reverse engineer, or otherwise attempt to obtain the source code of the PJ System.

You also warrant, represent and agree that you will not contribute any content or otherwise use the PJ System in a manner that (i) infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party, (ii) violates any law, statute, ordinance or regulation, (iii) is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, or otherwise objectionable, (iv) impersonates any person or entity, including without limitation any employee or representative of PrintJob, or (v) contains a virus, trojan horse, worm, time bomb, or other harmful computer code, file, or program.

PrintJob reserves the right to remove any content from the PJ System at any time for any reason (e.g., impedes updates, claims or allegations from third parties or authorities relating to such content or if the content is deemed harmful to system integrity). In preserving the PJ System integrity, you agree that PrintJob does not need your consent to act swiftly.

Your Data

During normal use of the PJ System, you will add data in the form of names, email addresses, passwords, addresses, product names, stock lists, client lists, order histories, payments and transactions, quotes etc. During your subscription (and after) this data is your property and belongs to you, and PrintJob (or any other party) has no right to this content and will not use it in any way, either publicly or privately, except to provide, maintain, protect and improve the PJ System, to develop new features and services, and to protect PrintJob and our users.

You may download all or (or delete) parts of your data, such as order history, during your subscription period. This is an automatic (via API) or manual job carried out by you.

If you cancel or allow your subscription to lapse, your data will become inaccessible. After 3 months of dormancy, your data may be deleted and become unrecoverable if you do not renew the subscription.

Data Security

PrintJob agrees to maintain the very highest levels of security in the provision and execution of PJ Systems.

Data Location

PJ Systems are ‘Cloud Based’ and located on servers at strategic locations around the world, hosted and maintained by Linode. At the time of writing, these servers are in the USA, UK, Germany and Sydney. By using the PJ System and submitting information, you agree to hosting, transferring, storing or processing at any of our sites. We usually place your PJ System at a server local to you, but should this not be the case, and your service speed suffers, we will take all reasonable action necessary to improve the service.

GDPR

PrintJob adheres to and is bound by the EU GDPR legislation.

If you hold or intend to hold any data on EU citizens protected by the legislation, you must also adhere to the legislation, which, among other things, states that such data be held on servers within the EU. To this end, PrintJob hosts all software and data relating to EU clients on servers held in Frankfurt, Germany.

PrintJob will also, upon request, provide a further GDPR contract.

Passwords

All passwords are kept secret from all users.

No password is ever shown on any screen to any user of the PrintJob System, including Admin users, Suppliers, Managers and End Users (and PrintJob Support Staff). Any user who has forgotten their password must run through the Password Reset Procedure, whereby the user is emailed a link to reset and create a new password. You agree to a policy of never asking users for their passwords.

Unauthorised Access

Your account is protected by a password for your privacy and security. You agree to prevent unauthorized access to your account and personal information by using a sufficiently complicated password, and protecting it appropriately, limiting access to your computer or device and browser by signing off after you have finished accessing your account.

PrintJob agrees to protect the privacy of your account and data, but because of factors beyond our control, such as users sharing passwords, you expressly agree that PrintJob cannot guarantee complete security. You also agree that the ‘transmission of information via the internet’ (including email) may not be completely secure, and therefore you accept the risk that unauthorized entry or use, hardware or software failure, and other factors may compromise the security of user information at any time.

Active Protection

PJ works hard to protect its Systems and our Clients from unauthorized access, alteration, disclosure or destruction of our systems and the data we hold. We have in place;

fail2ban – against brute force attacks

Iptables – firewalls only allowing access via single access ports.

Ddos – protecting against denial of service (DOS) attacks.

Rkhunter/maldet – runs 24/7 and scans daily, looking for rootkits & malware.

Monit – monitors CPU/RAM usage, disk space, SSH, Apache, Postfix, Mysql, Cron, Syslog, NSD, fixing anything automatically if it can or forcing a restart of components like Apache as well as sending out alerts.

Backups and Recovery

PrintJob automatically backs up all systems and data to alternative off-location servers. For example, data held in Australia may be backed up to a European server. The backup routine runs daily, and at any one time, we have a record of yesterday's server and those of 14 and 30 days ago. If a catastrophe were to happen (e.g. hardware failure at the web hosting company Linode), PrintJob could perform a recovery from backup normally within an hour or two. The ‘recover from backup’ procedure is tested every couple of months.

Support

PrintJob agrees to provide as much support as possible via in-app messenger, email or telephone only. The hours that we keep are normally UK office hours (GMT). We agree to provide reasonable support outside those hours, but you agree implicit development work or bug fixing is kept to these UK office hours.

We keep all records of your communication with PrintJob Support.

PrintJob will only communicate directly with Admin users of your PJ System. PJ will not contact or provide support for your Clients or Suppliers unless it is critical for support purposes and not without your consent.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other information.

Subscription Policy

The PrintJob System is sold on a monthly subscription basis. You agree to pay your monthly subscription before the subscription period (i.e. at the beginning of every month).

The subscription does not automatically entitle you or commit PrintJob to the delivery of any future functionality or features, even if that promise was made by PrintJob staff via oral or written comments.

Subscription payments are non-refundable.

Subscriptions can be changed at any time. If you upgrade to a higher plan, pro rata will be applied, but no pro-rata changes are applied if you downgrade to a lower plan, in which case the next monthly rate will be on the new subscription.

You may cancel your subscription any time by the method outlined on the Billing page. Cancelled systems are held for three months before being deleted and becoming unrecoverable. You can reactivate your account anytime before the three months is up by logging in and updating your credit card.

Unless otherwise agreed with PJ, you will be billed for all back pay due.

PrintJob reserves the right to update the subscription rates along the lines of inflation (about 2% per annum) for each year in operation.

Subscription Pause

Subscriptions cannot be ‘paused’. If you want a holiday, you must cancel the subscription and restart it later. Please note – cancelled systems may be deleted after three months.

Payment Failure

PrintJob’s Subscription System attempts to repeat payment for up to 3 months if the payment fails for any reason.

After seven days of payment failure, an email may be sent asking for the payment method to be updated, and access to the System will be restricted to the Admin billing page.

Once the payment method is resolved, the System automatically back charges to keep the subscription current.

If no payment is received after three months, the system will be cancelled, and the contract will be terminated.

Reselling

A subscription to the PrintJob System does not grant you the right to resell/sublet/sublease the service. As a subscriber, you are permitted to create and manage storefronts to sell products and services provided by any business that you own. You may not provide a Storefront whose customers pay anyone else but you.

Subscription Taxes

PrintJob fees do not include any taxes (unless required at a later date), levies, duties or similar governmental assessments of any nature, including, for example, value-added or sales tax. You agree to pay any local taxes that apply to you. PrintJob will not be liable for these taxes, levies or duties unless required to be by Law.

Usage Limits

Services and Content are subject to usage limits, including, for example, PDFs uploaded or generated, artwork files and any attachments added by You, your Clients or Suppliers. All PJ Systems are subject to a limit of 15GB of hard drive space, 50Gbps network in and out and 1 TB per month of transfer. If you exceed the usage limit, we may work with you to reduce your usage to conform to that limit (by removing big files etc.). If this is not possible, you may be subject to extra usage charges or placed on a dedicated plan to accommodate your needs.

Warranty

We have built the PJ System using a commercially reasonable level of skill and care, and we hope you will enjoy and profit from using it. However, it is impractical to list all the features and functionality or the benefits that the PJ system can provide, so officially, the PrintJob System is provided on an “as is” basis without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, usefulness or efficiency of the PJ System as a platform for marketing or selling products, non-infringement, commitments about the content within the services or the specific functions of the services, or their reliability, availability, or ability to meet your needs or that use of the services will be uninterrupted, secure or error-free. No advice or information, whether oral or written, obtained from PrintJob or through the website will create any warranty not expressly made herein.

Some jurisdictions do not allow limitations on how long an implied warranty lasts and or provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

We are constantly changing and improving the PJ System. To preserve system integrity and uptime, PrintJob reserves the right to, in an emergency, add or remove functionalities or features, impose limits on certain features and services or restrict your access to parts or all of the PJ System at any time without notice or liability.

Uptime

PrintJob is committed to making all commercially reasonable efforts to make the PJ System available 24 hours a day, seven days a week. We do not offer an uptime guarantee for the following reasons:

We are beholden to the uptime guarantees of our hosting company Linode. We work UK office hours, so problems can take longer to fix if they happen, for example, at 6 pm Pacific Standard Time on a Friday night (meaning it may not get fixed until Monday morning UK time).

We implement regular but short periods of planned but unannounced downtime (at night or on weekends) to allow for upgrades which usually take no more than 5 minutes to implement.

Additional downtime can be caused by circumstances beyond our reasonable control, including, for example, an act of God, an act of government, flood, fire, earthquake, civil unrest, an act of terror, a strike or other labour problem, Internet service provider failure or delay, the failure of a 3rd party system, or denial of service attack.

Liability

To the extent permitted by law, in no event shall PrintJob or its suppliers and distributors, or their respective officers, directors, employees, or agents be liable concerning the website or software or the services or the subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory (i) for no monetary value whatsoever; (ii) for any indirect, incidental, punitive, or consequential damages of any kind whatsoever; (iii) for data loss or cost of procurement of substitute goods or services; or (iv) for any matter beyond PrintJob’s reasonable control.

Some countries or locations do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations and exclusions may not apply to you. However, all disputes and claims are subject to the laws of England. Also, you acknowledge and agree that you will fully indemnify

PrintJob in respect of any third-party claims relating to your use of the PJ System or your disclosure of any third-party personally identifiable information or the tracking of visitors (including without limitation your end-user customers) on your particular deployment of the PJ System.

You acknowledge that PrintJob has no control over and no duty to take any action regarding which additional users gain access to your PrintJob System; what content you or your clients access via the PrintJob System; what effects the content may have on you or your clients; how you or your clients may interpret or use the content; or what actions you or your clients may take as a result of having been exposed to the content. You release PrintJob from all liability for you having acquired or not acquired Content through the services. The services may contain or direct you to websites or applications containing information that some people may find offensive or inappropriate. PrintJob makes no representations concerning any content contained in or accessed through the services, and PrintJob will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the services. PrintJob makes no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the PrintJob System.

Changes to this document

We amend this document occasionally to reflect changes in the law or changes to the PJ System. PrintJob will only notify Clients of significant changes to this document by posting an announcement on the PJ System or emailing you. Otherwise, it is your job to keep apprised of this document and to read it thoroughly. You are bound by any changes to this document when you use the PJ System after such changes have been first posted.
